FORMED – CREATOR JOINING TERMS & CONDITIONS (TERMS OF USE)

These Terms apply to your use of Formed and your participation as a Creator/Business User.

1) Acceptance of these Terms

By accessing, registering with, or using Formed (including any related pages, tools, and services), you agree to these Terms. If you do not agree, you must not use Formed.

2) Who we are / Contact

“Formed”, “we”, “us”, and “our” refers to Formed Official / Formed (operating via formedofficial.com).

3) Changes to these Terms

We may update these Terms from time to time:

  • to reflect legal or regulatory changes;

  • to improve the service; or

  • to address risks, security, fraud, or misuse.

Where reasonable, we will provide notice (for example, by email or via your account). Continued use of Formed means you accept the updated Terms.

4) Definitions

  • “Business User” / “Creator”: a user who joins or uses Formed for commercial purposes, including promoting or supplying replica casting supplies to their audience/subscribers.

  • “Supplies”: replica casting supplies and related products offered by Formed (including any future ranges).

  • “Subscriber”: any person who purchases Supplies from the Creator or via the Creator’s audience/subscription community.

  • “Content”: any material you upload or share on Formed (text, images, video, links, etc.).

5) Eligibility & account registration

To join as a Creator/Business User, you must:

  • be at least 18 years old;

  • be legally able to enter into a contract;

  • provide accurate, complete information during registration; and

  • comply with all applicable laws.

We may accept or reject applications at our discretion and may request verification information.

6) Your responsibilities

You agree that:

  • you are responsible for your account and all activity under it;

  • you will keep your login details secure;

  • you will provide accurate details and keep them updated; and

  • you will comply with these Terms and any policies we publish.

7) Annual Creator fee (mandatory)

7.1 Fee amount: The annual Creator fee is £250 (the “Annual Fee”).
7.2 Payment timing: The Annual Fee is payable 30 days after joining Formed (your “Join Date”).
7.3 Non-payment: If the Annual Fee is not paid by the due date, we may (without limiting other rights):

  • suspend your Creator account;

  • pause access to Creator benefits/pricing/wholesale access (if applicable); and/or

  • terminate your Creator status.

7.4 Taxes: Fees are exclusive of any applicable taxes unless stated otherwise.

8) Exclusivity: Formed as sole supplier (core condition)

8.1 Sole supplier requirement: As a condition of joining and remaining a Creator on Formed, you agree that you will use Formed as your main and only supplier of replica casting supplies provided to (or promoted for purchase by) your Subscribers (“Exclusivity Requirement”).
8.2 No bypassing: You must not source, resell, fulfil, or direct Subscribers to obtain replica casting supplies from any supplier other than Formed, whether directly or indirectly.
8.3 Evidence & audit: We may request reasonable evidence of compliance (e.g., screenshots of offers, product links, or fulfilment records).
8.4 Breach: If we reasonably believe you have breached the Exclusivity Requirement, we may:

  • issue a warning and require immediate correction; and/or

  • suspend or terminate your Creator account; and/or

  • remove Creator benefits; and/or

  • seek recovery of losses caused by the breach (including reasonable investigation/admin costs).

(If you want this clause even stronger, we can add “liquidated damages” wording, but a solicitor should review that.)

9) Orders, fulfilment, and Subscriber experience

9.1 Formed may provide products, fulfilment options, pricing, or Creator tools. Specific purchasing terms for any Supplies (including delivery/returns) may be shown at checkout or in product terms.
9.2 You must not misrepresent pricing, availability, delivery times, or product quality to Subscribers.
9.3 You are responsible for your marketing claims and must comply with advertising/consumer law.

10) Acceptable use

You must not use Formed to:

  • break any law or regulation;

  • post unlawful, harmful, misleading, or fraudulent content;

  • infringe intellectual property rights;

  • harass, threaten, or abuse others;

  • attempt to access accounts/systems you do not have permission to use.

We may remove content or restrict accounts that breach these Terms.

11) Intellectual property

11.1 Your Content: You retain ownership of your Content. You grant Formed a worldwide, royalty-free license to host, display, and use your Content as needed to operate and promote the platform/services.
11.2 Formed IP: The Formed name, brand, logo, site design, and platform materials are owned by or licensed to us. You may not use them except as permitted by us.

12) Suspension and termination

We may suspend or terminate your access (with or without notice depending on severity) if:

  • you breach these Terms (including the Exclusivity Requirement);

  • we suspect fraud, unlawful activity, or serious misuse;

  • your actions create risk or harm to Formed, users, or third parties; or

  • required fees are not paid.

You may stop using Formed at any time, but any amounts owed remain payable.

13) Disclaimers

Formed is provided on an “as available” basis. We do not guarantee uninterrupted access, or that joining will increase earnings or sales. You are responsible for your business decisions and compliance with law.

14) Limitation of liability

To the fullest extent permitted by law, Formed will not be liable for:

  • loss of profits, sales, revenue, business opportunities, or goodwill;

  • indirect or consequential losses;

  • losses caused by events outside our reasonable control.

Nothing in these Terms limits liability where it would be unlawful to do so.

15) Complaints and disputes (mediation first)

If you have a complaint, contact us first at: [Insert support email].
If a dispute arises, you agree to attempt to resolve it informally and, if requested by us, to try mediation before starting court proceedings (except where urgent injunctive relief is needed).

16) Governing law and courts

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction (unless mandatory local consumer laws apply where relevant).

17) General

  • If any part of these Terms is unenforceable, the rest remains in force.

  • No waiver: if we don’t enforce something immediately, we can still enforce it later.

  • You may not assign your rights/obligations without our written consent.

  • These Terms are the entire agreement between you and Formed regarding joining and using Formed as a Creator.
